Terms of Use

Last updated: October 15, 2026

These Terms of Use and End-User License Agreement (“Terms”) govern your use of the Elevate EBS website at elevateebs.com and the Elevate360 platform at app.elevateebs.com (together, the “Services”). The Services are provided by Elevate Employer Benefits Solutions LLC, a Texas limited liability company doing business as Elevate EBS (“Elevate EBS,” “we,” “us”). By creating an account, signing in, or using the Services, you agree to these Terms. If you use the Services on behalf of a company, you confirm that you have authority to accept these Terms for that company.

1. What the Services are

Elevate360 is a benefits administration platform used by employers, their employees, individual members, and licensed advisors and brokers to enroll in, manage and support programs offered by Elevate EBS, including the Preventative Care Management Plan (PCMP) and Elevate Everyday Health Access (EHA). Elevate EBS is an administrator. We are not an insurance company, and the programs are not health insurance. Health and wellness services made available through the programs are delivered by independent third-party providers under their own terms and privacy practices.

2. Program agreements come first

Your participation in a program is also governed by the agreement you or your employer signed for that program (for example, an employer services agreement, plan documents, a participation agreement, or membership terms accepted at checkout). If those agreements conflict with these Terms, the program agreement controls for that program.

3. Accounts and security

You must give accurate information and keep it up to date. You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Tell us right away at support@elevateebs.com if you believe your account has been used without your permission. We may suspend accounts that appear to be compromised or misused.

4. License to use the platform

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purpose: administering, enrolling in, supporting or selling Elevate EBS programs. You may not: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer, decompile or attempt to extract source code; (c) resell, rent or sublicense the Services except as expressly allowed in a written agreement with us; (d) access data you are not authorized to see, or attempt to bypass security or permission controls; (e) use automated tools to scrape or overload the Services; or (f) use the Services for any unlawful purpose.

5. Your data

You keep ownership of the data you or your organization submit (“Customer Data”). You give us permission to host, process and use Customer Data to provide and support the Services, to meet our legal obligations, and as described in our Elevate360 Platform Privacy Policy. You are responsible for having the right to submit the Customer Data you provide, including any information about employees or dependents.

6. Third-party services and integrations

The Services work with third-party services, including payment processing, billing and e-signature providers, payroll connection services, health and wellness program vendors, and accounting software such as QuickBooks Online by Intuit. When an integration is connected, data moves between the Services and that third party as needed to perform the function you or your organization enabled. Your use of a third-party service is also subject to that provider’s own terms and privacy policy. We are not responsible for third-party services we do not control. An authorized administrator may disconnect an integration at any time.

7. Fees

Fees for programs are set out in the applicable program agreement, proposal or checkout page. Card and bank payments are processed by our payment providers; we do not store full card numbers on the Services.

8. Advisors and brokers

Advisors and brokers who use the Services are independent and are not employees or agents of Elevate EBS unless a separate written agreement says otherwise. Commission rates, payouts and related terms are governed by your written agreement with Elevate EBS or with your broker or white-label organization. Information shown in the Services about earnings is provided for convenience and is subject to correction.

9. Acceptable use

Do not upload malicious code, misrepresent your identity or authority, harass others, or submit information you do not have the right to share. Do not enter medical records, diagnoses or other clinical information into chat or free-text fields; program vendors handle clinical information under their own practices.

10. Intellectual property

The Services, including software, design, text, graphics and trademarks, are owned by Elevate EBS or its licensors and are protected by law. Except for the limited license above, no rights are granted to you.

11. No professional advice

Information in the Services is general and is not tax, legal, medical or investment advice. Tax results depend on each employer’s and employee’s circumstances. Consult your own advisors.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ELEVATE EBS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELEVATE EBS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ELEVATE EBS FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow these limitations, so they may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Elevate EBS from claims arising out of your misuse of the Services, your violation of these Terms, or Customer Data you submit without the right to do so.

15. Suspension and termination

You may stop using the Services at any time; ending a program is governed by that program’s agreement. We may suspend or end access if you violate these Terms or if required by law. Sections that by their nature should survive (including data, intellectual property, disclaimers, limitation of liability and governing law) survive termination.

16. Changes to these Terms

We may update these Terms. The “Last updated” date shows when they last changed. If a change is material, we will give reasonable notice through the Services or by email. Continued use after the effective date means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Harris County, Texas, unless a program agreement provides otherwise.
